Terms of Service

The terms that govern your use of the Coodes website, purchases of premium themes and custom development services.

These Terms of Service govern your access to and use of coodes.org, your purchase of premium Web2 and Web3 themes and templates, and any custom development services you engage Coodes to provide. Please read them carefully: by using the Site or buying from us, you agree to be bound by them. Effective date and last updated: September 18, 2026.

1. Acceptance of These Terms

These Terms of Service (the "Terms") form a legally binding agreement between you and Coodes ("Coodes", "we", "us" or "our"), the operator of coodes.org (the "Site"). They apply to all visitors, customers and clients. By browsing the Site, creating an account, purchasing a product, subscribing to our newsletter or engaging our services, you confirm that you have read, understood and accepted these Terms.

These Terms incorporate by reference our License Terms, Refund Policy, Privacy Policy and Cookie Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree with these Terms, you must not use the Site or the Services.

Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, and legally capable of entering into binding contracts in order to purchase products or engage our services. You may not use the Services if you are prohibited from doing so under applicable law, including sanctions and export control laws, or if you are located in, or a resident of, a jurisdiction where such use is prohibited.

2. Accounts and Security

Certain features, such as accessing downloads, managing licenses or requesting support, may require you to create an account or use an order reference sent to your email. You agree to:

  • provide accurate, current and complete information and keep it up to date;
  • keep your login credentials and download links confidential and not share them with others;
  • notify us promptly at [email protected] of any unauthorized access or suspected security breach; and
  • accept responsibility for all activity that occurs under your account or using your order credentials.

We may suspend or close accounts used in breach of these Terms or that pose a security risk.

3. Purchases, Pricing and Payment

3.1 Products

Coodes sells downloadable digital products, including Next.js website themes, Solidity smart contract templates and Flutter mobile app templates (each an "Item"). Items are delivered electronically by download; no physical goods are shipped. We make reasonable efforts to keep descriptions and live previews accurate, but demo images or placeholder content shown in previews may not be included in the download.

3.2 Prices and taxes

Prices are displayed on the Item page and on our pricing page. Each Item is sold for a one-time payment under either a Regular or an Extended license. Unless stated otherwise, prices do not include applicable taxes such as VAT or sales tax, which may be added at checkout according to your location. We may change prices at any time, but changes do not affect orders already confirmed.

3.3 Payment

Payments are processed by third-party payment processors. Coodes does not store your full card data. Where offered, cryptocurrency payments are processed through third-party crypto payment gateways, and the amount due is calculated in the cryptocurrency selected based on the fiat price at the time of checkout. You are responsible for network fees and for sending the correct amount to the correct address on the correct network; payments sent incorrectly may be unrecoverable. Your use of any payment provider is also subject to that provider's terms.

3.4 Order confirmation and delivery

A contract for an Item is formed when we confirm your order by email or make the Item available for download. Download access is typically provided immediately after payment is confirmed. If you do not receive access within a reasonable time, please contact us.

3.5 Support and support extension

Each Item purchase includes six (6) months of support from the date of purchase, covering the scope described in the License Terms. You may purchase an optional support extension where offered. Support does not include customization, installation or development work, which may be ordered as a custom service.

4. License Grant Summary

Items are licensed, not sold. When you purchase an Item, you receive a non-exclusive, non-transferable (except as expressly permitted), worldwide license to use the Item in accordance with the license type you purchased:

  • Regular License: use of the Item in one single end product, which end users are not charged to access or use.
  • Extended License: use of the Item in one single end product that end users may be charged for, including SaaS products and paid applications.

The complete scope of permitted and prohibited uses, including rules for client work, smart contract deployment, third-party assets and support, is set out in our License Terms, which prevail over this summary in the event of any conflict.

5. Custom Development Services

Coodes offers custom services, including custom theme development, Web3 and smart contract integration, Flutter mobile app development, theme customization and installation, and performance, SEO and maintenance work, as described on our services page. Unless a separate written agreement signed by both parties states otherwise, the following terms apply to custom services.

5.1 Quotes and scope

We will provide a written quote or proposal setting out the scope, deliverables, timeline, fees and milestones. Quotes are valid for 30 days unless stated otherwise. The project begins once you accept the quote in writing (including by email) and pay any required deposit. Work outside the agreed scope, including new features and material changes to requirements, will be treated as a change request and may be subject to additional fees and revised timelines.

5.2 Milestones and deposits

Projects are typically divided into milestones. We may require a deposit before starting, as specified in the quote, with remaining payments due on completion of each milestone. Invoices are payable within the period stated on the invoice. We may pause work if payments are overdue, and timelines will be extended accordingly.

5.3 Client responsibilities

You agree to provide timely feedback, content, assets, approvals and access to the systems we need. You are responsible for ensuring that any materials you provide do not infringe third-party rights and that you have the right to grant us access to any accounts, hosting or repositories. Delays caused by missing inputs may affect timelines and fees.

5.4 Acceptance

On delivery of each milestone, you will have seven (7) days, or another period stated in the quote, to review the deliverables and either accept them or provide a written list of material non-conformities with the agreed specification. We will correct reported non-conformities within a reasonable time. If you do not respond within the review period, or if you use the deliverables in production, the milestone is deemed accepted.

5.5 Intellectual property transfer

Upon receipt of full payment of all fees for a project, Coodes assigns to you the intellectual property rights in the bespoke deliverables created specifically for you. Until full payment is received, all rights remain with Coodes, and you receive only a limited license to review and test the deliverables. The following are excluded from the assignment and are instead licensed to you on a non-exclusive basis for use with the deliverables: (a) pre-existing Coodes Items, libraries, components and know-how; (b) third-party and open-source components, which remain subject to their own licenses; and (c) general tools and techniques.

5.6 Refunds for services

Refunds for custom services are handled by milestone as described in our Refund Policy.

6. Acceptable Use

You agree not to use the Site, the Items or the services to:

  • violate any applicable law or regulation, including consumer protection, data protection, securities, anti-money laundering, sanctions or export control laws;
  • build or operate scams, phishing sites, Ponzi or pyramid schemes, rug pulls, fraudulent token sales or any product designed to deceive users;
  • infringe or misappropriate the intellectual property or privacy rights of others;
  • distribute malware or introduce malicious code into any Item or into systems we access;
  • attempt to gain unauthorized access to the Site, our systems or other users' accounts, or interfere with the Site's operation, including through scraping, excessive automated requests or denial-of-service attacks;
  • share, resell or publicly distribute download links, license keys or Item source files except as permitted by the License Terms; or
  • harass or abuse our staff or other users.

We may investigate suspected violations and take appropriate action, including suspending access, revoking licenses and cooperating with law enforcement.

7. Web3 and Smart Contract Risk Disclaimers

Some Items and services involve blockchain technology, including Solidity smart contracts, token contracts, NFT contracts, wallet connectivity and decentralized application front ends. You acknowledge and accept the following:

  • No financial, investment, legal or tax advice. Nothing on the Site or in any Item, documentation or communication from Coodes constitutes financial, investment, legal, tax or accounting advice. We do not recommend any token, project or investment strategy.
  • Smart contract risks. Smart contracts may contain bugs, vulnerabilities or design flaws, and once deployed they are often immutable. Blockchain networks may experience forks, congestion, high fees, protocol changes or attacks. Transactions are generally irreversible, and lost keys or assets usually cannot be recovered.
  • Your responsibility for audits. Smart contract templates are provided as starting points. Before deploying any contract that will hold or move value, you are solely responsible for reviewing, testing and obtaining an independent professional security audit appropriate to the risk. Unless expressly included in a written custom services quote, Coodes does not provide security audits.
  • Regulatory compliance. Laws governing tokens, NFTs, digital assets, securities, payments, money transmission and consumer protection vary by jurisdiction and change frequently. You are solely responsible for determining and complying with all legal and regulatory requirements applicable to your project, including licensing, registration, disclosures, KYC/AML and tax obligations.
  • Third-party infrastructure. Wallets, RPC providers, oracles, bridges, indexers and other blockchain infrastructure are provided by third parties outside our control.
  • No custody. Coodes never takes custody of your digital assets or private keys.
Note: Deploying a smart contract to a mainnet can put real funds at risk. Always test on a test network first, have the code independently audited, and keep administrative keys in secure, ideally multi-signature, wallets.

8. Third-Party Components and Open-Source Licenses

Items may include or depend on third-party components, such as open-source frameworks and libraries (for example, packages distributed through npm or pub.dev), fonts, icons, and images. These components are licensed to you by their respective owners under their own license terms, not by Coodes, and your use of them must comply with those terms. We identify key third-party components and their licenses in Item documentation where practicable. Coodes makes no warranty regarding third-party components and is not responsible for changes, deprecations or vulnerabilities in them, although we will make reasonable efforts to release updates where a component used in a supported Item requires it.

9. Intellectual Property

The Site, including its design, text, graphics, logos, the Coodes name and brand, and all Items, are owned by Coodes or its licensors and are protected by copyright, trademark and other intellectual property laws. Except for the licenses expressly granted in these Terms and the License Terms, no rights are granted to you, whether by implication, estoppel or otherwise. You may not use our name, logos or trademarks without our prior written permission.

If you believe any content on the Site infringes your intellectual property rights, please send a notice to [email protected] identifying the work, the allegedly infringing material, your contact details and a statement of good-faith belief. We will review and respond to valid notices. If you send us feedback or suggestions, you grant us a free, perpetual right to use them without obligation to you.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Site, Items and services are provided "as is" and "as available". Except as expressly stated in these Terms, Coodes disclaims all warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site or any Item will be uninterrupted, error-free, secure or compatible with every environment, hosting provider, browser, device, blockchain network or third-party service, or that Items will meet your specific requirements. We do not guarantee any particular business, financial, search ranking or performance outcome from any Item or service.

Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under the consumer protection laws applicable to you. If you are a consumer, you retain the statutory rights available to you under the law of your country of residence.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Coodes will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, digital assets, tokens or cryptocurrency, or business interruption, arising out of or in connection with the Site, Items or services, even if advised of the possibility of such damages;
  • Coodes will not be liable for losses arising from smart contract exploits, blockchain network failures, wallet compromise, lost private keys, third-party components or your failure to obtain an audit or comply with applicable law; and
  • Coodes's total aggregate liability for all claims relating to the Site, Items or services will not exceed the amount you paid to Coodes for the specific Item or service giving rise to the claim in the twelve (12) months preceding the event giving rise to liability.

These limitations do not apply to liability that cannot be limited or excluded under applicable law, such as liability for fraud, gross negligence or willful misconduct, or death or personal injury caused by negligence.

12. Indemnification

You agree to indemnify, defend and hold harmless Coodes and its owners, employees, contractors and agents from and against any claims, liabilities, damages, losses, costs and expenses, including reasonable legal fees, arising out of or related to: (a) your breach of these Terms or the License Terms; (b) your end products, websites, apps or deployed smart contracts; (c) content or materials you provide to us; (d) your violation of any law or third-party right; or (e) any token, NFT or digital asset project you launch or operate. We will notify you of any such claim and may participate in its defense with counsel of our choice.

13. Suspension and Termination

You may stop using the Site at any time. We may suspend or terminate your access to the Site, your account or any license, with or without notice, if you materially breach these Terms or the License Terms, if required by law, or if your use poses a security or legal risk. For custom services, either party may terminate an engagement by written notice if the other materially breaches its obligations and fails to cure the breach within fourteen (14) days of notice; in that case you will pay for work completed up to the termination date. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification and governing law, will survive.

14. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-laws principles. Before starting formal proceedings, you agree to contact us at [email protected] with a written description of the dispute and to attempt in good faith to resolve it informally for at least thirty (30) days. If the dispute is not resolved, it will be submitted to the exclusive jurisdiction of the competent courts of Cairo, Egypt.

If you are a consumer, this choice of law and jurisdiction does not deprive you of the protection of mandatory provisions of the law of your country of residence, and you may be entitled to bring proceedings in the courts of that country.

15. Changes, Miscellaneous and Contact

We may amend these Terms from time to time. The updated version will be posted on this page with a new "last updated" date, and material changes will be notified on the Site or by email. Changes apply to purchases and engagements made after the effective date of the change; continued use of the Site after that date constitutes acceptance.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force, and our failure to enforce any right is not a waiver.
